Terms of service

Last updated 5 November 2026

These terms are the agreement between your business and BlueDuka, Nairobi, Kenya ("we") for using BlueDuka: the app in the browser, on Android, on iPhone and iPad and on Windows, the online shop pages and the API. By creating an account (by ticking that you agree) or using BlueDuka you agree to them. Please also read our privacy policy.

1. Your account

  • You must be 18 or older and able to make agreements for the business you register. Give true details and keep them up to date.
  • Keep your password secret and do not share logins: invite each staff member with their own email instead. You are responsible for what is done with your account and by the people you invite, within the permissions you give them.
  • Tell us straight away if you think someone else is using your account.

2. Plans, the free trial and payment

  • A new shop gets every feature free for a month, without a card. After that it moves to the Free plan unless the owner pays for a plan. A creative studio's free trial is 14 days. Prices are shown on the pricing page in Kenya shillings.
  • Paid plans are paid in advance by M-Pesa for each month. When a paid month ends without a new payment, the shop moves to the Free plan: nothing is deleted, the paid features lock, and staff beyond the Free plan's limit are paused until the owner pays again.
  • Payments are not refunded for part of a month, except where the law requires or we made a mistake.
  • We may change prices or what each plan includes. We will tell owners at least 30 days before a price rise applies to them; it applies from the next month paid after that.

3. Using BlueDuka properly

You agree not to:

  • use BlueDuka for anything illegal, including fraud, fake or altered receipts, invoices or credit reports, or hiding sales from the Kenya Revenue Authority;
  • record information about people without a lawful reason, or send customers reminders or messages they have asked you not to send;
  • try to get into other shops' records, break or test BlueDuka's security, overload it, or copy, take apart or resell the software, except through the API as documented;
  • share an API key outside your own systems or use the API to collect data you are not entitled to.

4. Your records

  • Your shop's records belong to your business. You give us permission to store and process them only to run BlueDuka for you, as described in the privacy policy.
  • You are responsible for what you record, for having the right to record information about your customers and staff, and for telling them how you use it where the law requires. See section 5A.
  • You can export much of your information yourself (for example the books as spreadsheet files). We take care to keep your records safe, but you should keep your own copies of anything important.

5. Tax, M-Pesa and other services

  • KRA eTIMS works with your shop's own KRA registration: you apply to KRA for OSCU yourself, KRA decides whether to approve it, and you confirm in BlueDuka that the registration is yours and, before going live, that KRA approved it. BlueDuka is not a KRA-certified eTIMS integrator; it sends KRA what you record, using the details you give it.
  • BlueDuka can send receipts to KRA eTIMS, work out VAT and Turnover Tax summaries and keep double-entry books. These help you, but you and your accountant remain responsible for registering with KRA, checking figures, filing returns and paying tax on time. BlueDuka does not give tax, legal or financial advice.
  • M-Pesa, KRA eTIMS, text messages and email are run by other companies under their own terms. We are not responsible when they are unavailable or make mistakes, though we will help you sort them out.
  • The BlueDuka Credit Score is worked out only from your records in BlueDuka. It is not a credit reference bureau (CRB) score, BlueDuka does not lend money, and a lender decides for itself whether to lend.

5A. Your agreement to how data is handled

  • By creating a BlueDuka account, or using BlueDuka, you agree to these terms and to our privacy policy, and you agree that BlueDuka collects, stores and uses the information in your account and your shop's records as the privacy policy describes. This includes keeping it with the service providers named there, some of them outside Kenya, and sending what is needed to M-Pesa, KRA eTIMS and the other services you switch on.
  • Your business decides what to record about its customers, staff and suppliers. By recording it, you confirm that you have their permission or another lawful reason, that you have told them how it is used, and that BlueDuka may handle it for you to run the service.
  • If one of your customers or staff asks about their information, they deal with your business; contact us if you need help answering.

For the personal data in your shop's records, your business is the data controller and BlueDuka is your data processor under Kenya's Data Protection Act, 2019. We process that data only to run BlueDuka for you and on your instructions (what you record and the settings you choose), unless the law requires otherwise; keep it confidential and let only people working on BlueDuka who need it reach it; protect it with the security measures in our privacy policy; use only the service providers named there; tell you within 48 hours of learning of a breach affecting your records; help you answer requests about that data; and, when you ask us to close your shop, delete its records except what the law requires us to keep.

You are responsible for having a lawful reason for what you record, for telling your customers and staff how you use their information, for not recording sensitive personal data (such as health information) unless the law allows it, and for answering their requests. You agree to cover BlueDuka (indemnify us) for claims, fines, losses and reasonable legal costs that arise from information your business recorded, used or shared without a lawful reason, or from your breach of these terms or of the Data Protection Act. Complaints about how BlueDuka handles data should be raised with us first, so we can look into them and answer within the times the law sets.

6. Working offline

The Windows and Android apps, and BlueDuka installed from the browser on an iPhone, iPad or computer, keep working without internet and upload what was done when the connection returns. Some checks (for example a customer's credit limit set on another till) can only be fully applied once everything is uploaded. Keep devices secure and connect them regularly; records not yet uploaded can be lost if the device is lost or damaged, or if the browser's storage for BlueDuka is cleared.

7. Availability and changes to BlueDuka

We work to keep BlueDuka running and your records safe, but we cannot promise it will never be interrupted, for example during maintenance, internet or power failures, or problems at our providers. We keep improving BlueDuka and may change or remove features; we will not remove a main feature of a paid plan during a month you have paid for.

8. Ending

  • You can stop using BlueDuka at any time. The owner can ask us to close the shop and delete its records; see the privacy policy for what the law makes us keep.
  • We may suspend or close an account that breaks these terms, puts other shops or BlueDuka at risk, or is used for fraud. Where possible we will warn you first and let you take a copy of your records.

9. Responsibility

BlueDuka is provided with care, but as it is. To the extent Kenyan law allows, we are not responsible for lost profits, lost sales or other indirect losses, and our total responsibility for any claim is limited to what the shop paid BlueDuka in the 12 months before it. These limits also apply to claims about personal data, to the extent the law allows. Nothing in these terms takes away rights you have under the Consumer Protection Act or other laws that cannot be excluded.

10. Changes to these terms

We may update these terms. We change the date at the top, and for important changes we tell owners in the app or by email at least 14 days before they apply. Continuing to use BlueDuka after that means you accept them.

11. Law and disputes

These terms are governed by the laws of Kenya. If something goes wrong, please contact us first and we will try to fix it. If we cannot agree, the courts of Kenya will decide.
